Standard Terms and Conditions of Business

Northumberland Community and Voluntary Action (NCVA) trades under standard terms and conditions that are set out in the document that may be downloaded below.

These terms and conditions apply to any agreement whether that agreement be verbal or written or communication by electronic transmission including e-mail and other forms of electronic messaging or facsimile document to trade with NCVA.

All invoices issued by NCVA are issued under these terms and conditions unless specifically otherwise agreed in writing by the parties.

Key points are as follows:

  • Payment for services shall normally be made on the completion of the work or supply of the goods but in any case no later than 30 days following the date of the invoice issued.
  • Goods remain the property of NCVA until paid for in full.
  • Intellectual property rights, copyright and authorship of work supplied are retained by NCVA unless specifically agreed in writing.
  • Clients agree to provide facilities to enable work to be carried out at their premises fee of charge.
  • Orders are confirmed in writing.
  • Termination of agreements between the parties is in writing
  • Confidentiality of commercial information will be respected by both parties and not disclosed
  • Where advice is supplied to a client is does not constitute legal advice and is supplied with no warranty whatsoever and in no way represents discharge or transfer of liability from client and/or the clients employees and/or the clients trustees to NCVA.
  • Appropriate insurances will be maintained by NCVA and the client for the safe conduct of any agreement.
  • Variations to the standard terms and conditions will be agreed in writing.
  • Agreements shall be governed by the laws of England
